Pooli Pro & Technician Terms

Last updated: October 19, 2026

Effective date: October 19, 2026

These Terms are between you and Pooli, Inc., a California corporation, 705 Gold Lake Dr Ste 250, Folsom, CA 95630 ("Pooli," "we," "us," or "our"). Pooli Pro, Ask Pooli, and Pooli Local are products and services of Pooli, Inc.

These Terms apply to Pooli Pro accounts, including technicians and pool service businesses. The Pooli Terms and Conditions also apply. If they conflict, the order of precedence in those Terms controls: for a Pooli Pro account, these Terms control over the general Terms, and mandatory consumer law, including the Australia Addendum, controls over both.

Business use

Pooli Pro is for business use by pool service companies and technicians. It is not a consumer membership. Pooli Club plans for pool owners are covered by the Pooli Terms and Conditions.

1. Service Description

Pooli provides a platform that facilitates pool service management and payment processing between pool service technicians ("Technicians") and their customers. Pooli is not a pool service provider and does not employ technicians.

2. Subscription Requirements

  • The free tier allows management of up to 2 pools.
  • Additional pools require a paid Pooli Pro subscription.
  • Subscription fees are separate from transaction fees.
  • Subscriptions renew automatically until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Fees are non-refundable, including for partial periods and unused features, except where required by law or where Pooli discontinues Pooli Pro without cause, in which case we will refund the prepaid, unused portion.

3. Payment Processing and Fees

  • Pooli charges a platform fee on transactions processed through the service. The current fee is the structure shown in your account.
  • We may change subscription and platform fees with at least 7 days' notice by email or in the app. Changes apply from the next billing period or, for platform fees, to transactions after the effective date.
  • Stripe accounts may be created or connected for payment processing. If you connect a Stripe account, you agree to the Stripe Connected Account Agreement.
  • Technicians are responsible for their own tax obligations and reporting.

4. Technician Responsibilities

  • Managing customer relationships and service delivery.
  • Handling customer complaints and service issues.
  • Managing refunds and billing disputes with customers.
  • Maintaining accurate service records and compliance with local regulations.
  • Maintaining appropriate insurance coverage.

Professional responsibility, chemicals, and test readings

Professional responsibility. You are a pool service professional, and you are solely responsible for the service, chemical treatment, water quality, safety, and condition of every pool and spa you or your technicians service. You are also responsible for complying with licensing, training, safety, chemical handling, storage, transport, and disposal requirements. Pooli recommendations, Ask Pooli responses, and calculated doses are tools to support your professional judgment and are not a substitute for it. You must independently verify readings and doses before applying chemicals.

Test readings. Test strip readings, photo scans, and entered results are estimates and may be inaccurate. Pooli makes no warranty about any reading, calculation, or recommendation.

Assumption of risk and release. You assume all risks arising out of chemical handling, dosing, and pool or spa service by you and your personnel. To the fullest extent permitted by law, you release the Pooli Parties from all claims arising out of or relating to readings, recommendations, dosing, chemical handling, water quality, or injury or damage to any pool, spa, equipment, property, or person, INCLUDING CLAIMS BASED ON THE NEGLIGENCE OF ANY POOLI PARTY. This release does not apply to gross negligence, willful misconduct, fraud, or any claim that cannot be released under applicable law.

Indemnity for customer claims. You will defend, indemnify, and hold harmless the Pooli Parties against any claim by your customers, their household members or guests, your personnel, or any other third party arising out of or relating to services you provide, chemicals you or your personnel handle or apply, or the condition of any pool or spa you service. This includes claims alleging that a Pooli recommendation, reading, or calculation contributed to the loss.

Insurance. You will maintain general liability insurance, and workers' compensation where required, in amounts customary for pool service businesses.

5. Pooli Parties, disclaimer, and liability

Pooli Parties. "Pooli Parties" means Pooli, Inc., its affiliates, and its and their officers, directors, shareholders, employees, agents, contractors, licensors, and service providers.

No personal liability. Pooli, Inc. alone is responsible for its obligations under these Terms and any other agreement with you. You agree that no officer, director, shareholder, employee, or agent of Pooli has any personal liability to you for any obligation of Pooli or any claim arising out of or relating to the Services, and you will bring any such claim only against Pooli, Inc. Each Pooli Party is an intended third-party beneficiary of this section and of the disclaimer, limitation of liability, and indemnity sections, and may enforce them directly. Nothing in this section limits liability that cannot be limited under applicable law.

Disclaimer. To the fullest extent permitted by law, the Services are provided "as is" and "as available," and the Pooli Parties disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Business interruption and lost profits. To the fullest extent permitted by law, no Pooli Party will be liable for lost profits, lost revenue, lost business or customers, business interruption, missed routes or appointments, failed or delayed invoicing or payments, loss or corruption of data, cost of substitute services, or any indirect, incidental, special, consequential, exemplary, or punitive damages, however caused and under any theory of liability, even if advised of the possibility. The total liability of all Pooli Parties combined for all claims arising out of or relating to these Terms or the Services will not exceed the subscription and platform fees you paid to Pooli (not including amounts processed for you through Pooli payments) in the 12 months before the event giving rise to the claim. You agree that these limits are an essential basis of the bargain and apply even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be excluded or limited by law, including your rights under the Australian Consumer Law.

Indemnity. You will defend, indemnify, and hold harmless the Pooli Parties from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) your violation of these Terms or applicable law, (c) content or data you submit, including Customer Data and photos, (d) services you provide to your customers, and (e) your use, handling, storage, or application of pool and spa chemicals.

Service availability and business risk

No service level commitment. Pooli does not guarantee that the Services will be available, uninterrupted, timely, secure, or error-free. Pooli offers no service level agreement, uptime commitment, or service credits unless agreed in a separate written agreement signed by an authorized officer of Pooli, Inc. The Services may be unavailable because of maintenance, updates, outages, bugs, security events, or failures of third-party services.

Third-party services. The Services depend on third parties, including Stripe, Google Cloud and Firebase, Apple, Google Play, internet and mobile carriers, email and SMS providers, and mapping services. Pooli is not responsible for their availability, performance, errors, holds, reserves, payout delays, account closures, or policy decisions. Payment processing, payouts, refunds, and disputes for Pooli payments are handled by Stripe under the Stripe Connected Account Agreement. Pooli is not a bank, money transmitter, or payment processor.

Your business operations. You are solely responsible for your business, including scheduling and completing routes, servicing your customers' pools, invoicing and collecting payment, and complying with laws that apply to your business. You agree to keep workable backup procedures so you can serve and bill your customers if the Services are unavailable. Pooli is not responsible for missed or late service, missed or incorrect invoices, failed or delayed payments, lost customers, or any other disruption to your business.

Data backup. You are responsible for keeping your own backup copies of Customer Data, invoices, and other records you need, including by using any export features Pooli provides. Data may be lost, corrupted, or unrecoverable, and Pooli is not liable for any loss, corruption, or unavailability of data.

Sole remedy. If you are dissatisfied with the Services, your sole and exclusive remedy is to stop using them and cancel your subscription.

Force majeure. Pooli is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, fire, flood, earthquake, extreme weather, pandemic or public health orders, war, terrorism, civil unrest, labor disputes, government action, power or internet failures, cyberattacks, denial-of-service attacks, failures of hosting, cloud, payment, or app store providers, and failures of carriers or suppliers.

6. Delivery Services (Pooli Local)

Pooli facilitates connections between service organizations and consumers for local delivery services:

  • Organizations are responsible for delivery quality, timing, and fulfillment.
  • Consumers contract directly with organizations; disputes and refunds are resolved between them.
  • Pooli is not liable for delivery mishaps, delays, damaged goods, or service quality issues.
  • Location services are used solely for proximity matching.

7. Customer Data and privacy

Technicians must protect customer data and use it only for service delivery, in accordance with applicable privacy laws and our Privacy Policy.

Customer Data. Customer Data means information a pool service company or technician stores in Pooli Pro about its customers, such as homeowner names, addresses, service records, and photos. You own your Customer Data. Pooli acts as a service provider under the California Consumer Privacy Act and processes Customer Data only to provide the service. Pooli does not use Customer Data for advertising.

8. Account termination, export, and deletion

Pooli may suspend or terminate any Pooli Pro account at any time, with or without cause or notice, including for nonpayment, risk, fraud, chargebacks, or a violation of these Terms. If we terminate without cause, we will refund the prepaid, unused portion of your current billing period. No refund is due on termination for cause.

You may request an export of Customer Data within 30 days after termination. After that, Pooli may delete it, except records we must keep for legal, tax, payment, dispute, or fraud reasons.

9. Dispute resolution and governing law

These Terms are governed by the laws of the State of California. The state and federal courts in Sacramento County, California are the venue. Before filing a claim, you agree to email support@pooli.app with a description of the dispute and give Pooli 30 days to resolve it. To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be filed within one year after it arises, or it is permanently barred. For customers located in Australia, disputes may be brought in the courts of your state or territory and your rights under the Australian Consumer Law apply. Any arbitration or foreign venue clause does not prevent you from relying on non-excludable consumer protections.

10. Changes to these Terms

We may update these Terms by posting the updated version and notifying you by email or in the app. Changes take effect 7 days after notice, or immediately for changes required by law or relating to new features. Continued use after the effective date means you accept the changes.

Australia Addendum

Australian Consumer Law (ACL). Nothing in these terms excludes, restricts, or modifies any rights and remedies you have under the ACL. Pooli will provide services with due care and skill and they will be reasonably fit for their disclosed purpose. If there is a failure to comply with a consumer guarantee, you are entitled to a remedy. For a major failure, you may cancel your subscription and receive a refund for the unused portion and compensation for any reasonably foreseeable loss. For a minor failure, we will remedy within a reasonable time (for example by re-performance or a refund/credit of the affected period). To the extent permitted by the Australian Consumer Law, where the Services are not of a kind ordinarily acquired for personal, domestic, or household use, Pooli's liability for failure to comply with a consumer guarantee is limited, at Pooli's option, to supplying the services again or paying the cost of having them supplied again.

Fair terms. We will not rely on any unfair term under Australian law. We will give at least 14 days' notice of any material change. If you do not agree, you may cancel before the change takes effect and we will apply a pro-rata refund of any prepaid, unused period.

Cancellations and refunds (AU). You can cancel auto-renew at any time in the app or on the web. Refunds will be provided in accordance with the ACL rights above. Any "no refunds" wording elsewhere does not apply to Australian customers where the ACL provides a remedy.

Governing law and venue (AU). If you reside in Australia, disputes may be brought in the courts of your state or territory and the ACL applies. Any arbitration or foreign venue clause does not prevent you from using Australian consumer protections.

Marketing communications (Spam Act). We send marketing only with consent, clearly identify Pooli, and provide a functional unsubscribe processed within 5 business days.

Privacy. Pooli is a US-based service. We store data in the United States and may disclose to service providers overseas. If Pooli trades in personal information, we will comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, including the Notifiable Data Breaches scheme.

Pricing and GST. Prices for Australian customers are as displayed at checkout. If we are required to collect GST, we will display GST-inclusive pricing and issue valid tax invoices.
